The "Starbird Chicken" name, logo, trade dress, and all related marks are trademarks or registered trademarks of the Company in the United States and other jurisdictions. You may not use these marks without the prior written consent of Starbird Chicken. Unauthorized use of any trademark, service mark, or logo appearing on the Services may constitute infringement of applicable intellectual property laws.

Subject to your compliance with these Terms, Starbird Chicken grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial purposes only. This license does not include the right to:

5. Payment Terms

5.1 Pricing and Payment

All prices for menu items are displayed in United States Dollars (USD) and are subject to applicable sales tax and service fees. Prices are subject to change without prior notice. The price you are charged will be the price displayed at the time your order is confirmed.

We accept various forms of payment, including major credit and debit cards (Visa, MasterCard, American Express, Discover), and other payment methods as displayed at checkout. All payment transactions are processed through secure, third-party payment processors. By submitting your payment information, you authorize Starbird Chicken and/or its payment processor to charge the specified payment method for all amounts due.

5.2 Order Confirmation and Cancellation

An order is not confirmed until you receive an order confirmation via email or within the application. You acknowledge that orders, once submitted, may not be cancellable due to the perishable nature of food products. Refunds may be issued at our sole discretion in the event of order errors, product quality issues, or non-delivery attributable to Starbird Chicken.

5.3 Promotional Codes and Offers

Promotional codes, discount vouchers, and special offers are subject to their individual terms and conditions. They may not be combined with other offers unless explicitly stated, have limited-time validity, and are non-transferable. 5.4 Chargebacks

If you initiate a chargeback with your payment provider without first attempting to resolve the matter with Starbird Chicken, we reserve the right to suspend your account pending investigation. Fraudulent chargebacks may result in permanent account termination and legal action.

THE SERVICES, INCLUDING ALL CONTENT, MENU ITEMS, INFORMATION, AND MATERIALS AVAILABLE THROUGH THE SERVICES, ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. STARBIRD CHICKEN EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT, INFORMATION, OR MATERIALS ON THE SERVICES;
• WARRANTIES THAT DEFECTS IN THE SERVICES WILL BE CORRECTED;
• WARRANTIES THAT THE SERVICES ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

Starbird Chicken does not warrant or represent that food products will meet your specific dietary requirements or health needs. While we provide nutritional and allergen information in good faith, this information is subject to variation due to supplier changes, preparation methods, and portion differences. Customers with severe food allergies should exercise caution and consult directly with our staff before ordering.

Any reliance you place on information provided through the Services is strictly at your own risk. Starbird Chicken shall not be responsible for any loss or damage arising from your use of or reliance on information provided through the Services.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STARBIRD CHICKEN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA;
• DAMAGES ARISING FROM YOUR INABILITY TO ACCESS OR USE THE SERVICES;
• DAMAGES RESULTING FROM ANY FOOD PRODUCT ORDERED THROUGH THIRD-PARTY DELIVERY PARTNERS;
• DAMAGES ARISING FROM CONDUCT OF ANY THIRD PARTY USING THE SERVICES.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF STARBIRD CHICKEN TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO STARBIRD CHICKEN IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

The foregoing limitations shall apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and regardless of whether Starbird Chicken has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for consequential or incidental damages, so some of the above limitations may not apply to you. In such jurisdictions, Starbird Chicken's liability shall be limited to the maximum extent permitted by applicable law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Starbird Chicken and its respective officers, directors, employees, shareholders, agents, licensors, service providers, and successors (collectively, the "Indemnified Parties") from and against any and all claims, demands, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your access to or use of the Services;
• Your violation of any provision of these Terms;
• Your violation of any third-party rights, including intellectual property rights, privacy rights, or rights of publicity;
• Your violation of any applicable law, regulation, or rule;
• Any content or information you submit, post, or transmit through the Services;
• Your negligence or willful misconduct.

Starbird Chicken reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any such matter without the prior written consent of Starbird Chicken. The inclusion of any link to a third-party service does not imply endorsement, sponsorship, or recommendation by Starbird Chicken. You access and use third-party services at your own risk and subject to those services' own terms and conditions.

Your interactions with third-party delivery partners regarding delivery timing, delivery quality, and driver conduct are governed by your agreement with those third parties. Starbird Chicken is not liable for any acts or omissions of third-party delivery partners.

11. Governing Law and Jurisdiction

These Terms, and any disputes arising out of or related to them or the Services, shall be governed by and construed in accordance with the laws of the United States of America and the laws of the state in which Starbird Chicken is registered and operates, without regard to conflict of law principles that would require the application of the laws of any other jurisdiction.

Subject to the arbitration provisions below, any legal action or proceeding arising under these Terms that is not subject to arbitration shall be subject to the exclusive jurisdiction of the state and federal courts located within the United States, and you hereby irrevocably consent to personal jurisdiction and venue in such courts.

These Terms are subject to all applicable federal laws and regulations of the United States, including but not limited to the Federal Trade Commission Act (FTC Act), which prohibits unfair or deceptive acts or practices in commerce. Nothing in these Terms shall be interpreted to waive any rights you may have under applicable federal or state consumer protection statutes.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services informally by contacting Starbird Chicken at [email protected]. You agree to provide a written description of the dispute, the specific relief sought, and your contact information. We will use reasonable efforts to respond within thirty (30) days and work toward an amicable resolution. If the parties are unable to resolve the dispute informally within sixty (60) days of the initial notification, either party may proceed with formal dispute resolution as described below.

12.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS AND REQUIRES INDIVIDUAL ARBITRATION OF DISPUTES RATHER THAN JURY TRIALS OR CLASS ACTIONS.

Except for claims that qualify for small claims court, and except for disputes relating to intellectual property rights (which may be brought in court), any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in effect at the time of the dispute. The arbitration shall be conducted in English in the United States.

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The parties agree to keep the arbitration proceedings and any resulting award confidential, except as may be required by law or necessary to enforce the award.

12.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND STARBIRD CHICKEN AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of class or representative proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration section shall be null and void.

12.4 Small Claims Court

Notwithstanding the foregoing, either party may bring an individual claim in small claims court if the claim qualifies under the applicable jurisdictional thresholds, provided such claim remains in that court and does not seek relief in excess of the court's jurisdictional limits.

13. Term and Termination

13.1 Term

These Terms shall remain in effect for as long as you access or use the Services or maintain an account with Starbird Chicken.

13.2 Termination by You

You may terminate your account and discontinue use of the Services at any time by contacting us at [email protected] and requesting account deletion. Termination will not entitle you to a refund of any amounts previously paid, except as required by applicable law.

13.3 Termination by Starbird Chicken

• Fraudulent, deceptive, or illegal conduct;
• Abuse of promotional offers, loyalty points, or refund processes;
• Conduct that is harmful to other users, Starbird Chicken, or third parties;
• Extended periods of account inactivity;

13.4 Effect of Termination

Upon termination of your account or these Terms: your right to access and use the Services immediately ceases; any pending orders may be canceled at our discretion; any loyalty points, credits, or rewards associated with your account may be forfeited; and provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, indemnification obligations, limitation of liability, disclaimers, and dispute resolution provisions.

Starbird Chicken shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, labor disputes, supply chain disruptions, cyberattacks, power outages, or internet service disruptions. In the event of a force majeure event, we will use commercially reasonable efforts to resume normal operations as soon as practicable.

By using the Services, you consent to receiving electronic communications from Starbird Chicken.
